These Terms and Conditions ("Terms", "Agreement") govern your access to and use of wisdsol.com (the "Website") and any software, applications, products, services, or content made available through it (collectively, the "Services"), operated by Wisdsol Tech ("we", "us", "our"), a company based in Ghana.

By accessing, browsing, downloading, purchasing, licensing, or using the Website or any Services, you agree that you have read, understood, and are legally bound by these Terms (including any referenced policies). If you do not agree, you must immediately stop using the Website and Services.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have full legal capacity to enter into contracts to use the Services. By using the Services you represent and warrant that you meet these requirements and that all information you provide is accurate and current.

Businesses or organizations using the Services represent that the person accepting these Terms has authority to bind that entity.

2. Services Description

Wisdsol Tech provides:

• Custom software development and related consulting services
• Ready-to-use software products including (but not limited to):
• Wisdsol POS System
• School Management System (Wisdsol Edu Pro)
• Printing Press Management Software
• Hospital Management System
• Other data analytics, automation, and management tools

Some products are offered for purchase/license with one-time fees, subscription options, or custom pricing. Services may include implementation support, training, maintenance, and updates (subject to separate agreements or plans).

3. Accounts and Registration

Certain Services require creating an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts for violation of these Terms or suspicious activity.

4. Licenses and Intellectual Property

Our IP: All software, code, designs, text, graphics, databases, and other content on the Website/Services (except user content) are owned by Wisdsol Tech or our licensors and protected by Ghanaian and international copyright, trademark, patent, and other intellectual property laws.

Limited License: Upon full payment (where applicable) and subject to these Terms and any specific license agreement, we grant you a non-exclusive, non-transferable, limited license to use the purchased/licensed software solely for your internal business purposes (or school/hospital operations, as relevant) during the paid term. You may not:

• Reverse engineer, decompile, disassemble, or attempt to derive source code
• Modify, adapt, translate, rent, lease, loan, sell, sublicense, distribute, or create derivative works
• Remove or alter any copyright, trademark, or proprietary notices
• Use the software in any manner that violates applicable law

Free trials, demos, or previews (if offered) are provided "as-is" for evaluation only and may be revoked at any time.

5. User Content and Conduct

You are solely responsible for any content, data, or materials you upload, submit, or transmit through the Services ("User Content"). You grant us a worldwide, royalty-free license to use, host, store, reproduce, modify (for formatting/backups), and display User Content solely to provide and improve the Services.

You agree not to:

• Upload viruses, malware, or harmful code
• Infringe third-party rights
• Engage in illegal, fraudulent, or harmful activities
• Attempt unauthorized access to our systems

6. Payments and Subscriptions

Pricing is listed on the Website or provided in quotes/proposals.

All fees are in Ghanaian Cedis (GHS) or USD (as stated) and are non-refundable except as expressly stated in our Refund Policy (if any) or required by Ghanaian law.

Subscriptions auto-renew unless cancelled per the instructions provided.

We may change pricing with 30 days' notice (via email or Website posting).

7. Data Protection

We process personal data in accordance with the Ghana Data Protection Act, 2012 (Act 843) and our Privacy Policy. By using the Services you consent to such processing.

If you process personal data of third parties using our software, you remain the data controller and must comply with applicable data protection laws.

8. Limitation of Liability

To the maximum extent permitted by law:

• The Services are provided "as is" and "as available" without warranties of any kind (express or implied), including merchantability, fitness for a particular purpose, or non-infringement.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, business interruption) arising from or related to the Services, even if advised of the possibility.
• Our total aggregate liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability for death, personal injury, fraud, or any matter that cannot be limited under Ghanaian law.

9. Indemnification

You agree to indemnify and hold Wisdsol Tech, its officers, directors, employees, and agents harmless from any claims, losses, liabilities, damages, costs (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

10. Termination

We may suspend or terminate your access at any time for breach of these Terms, non-payment, or to protect our systems/users, with or without notice.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana. Any disputes shall be subject to the exclusive jurisdiction of the courts of Accra, Ghana.
